Effective date: October 11, 2026. Please read these terms carefully. They are a binding agreement between you and Provident Financial Group, doing business as CoverMatch ("CoverMatch", "we", "us"). By creating an account, submitting a quote request, or otherwise using covermatch.insure, the CoverMatch web app or the CoverMatch mobile app (together, the "Service"), you agree to them. If you do not agree, do not use the Service.
1. Who we are
We are a licensed insurance producer (agency). Our National Producer Number appears in the footer of every page, and state license details are available on request. Insurance is placed with carriers we are appointed with, and only in the states where we are licensed. In any other state the Service works as a document wallet only; quoting and agent-of-record changes are not offered there.
2. Who may use the Service
- You must be at least 18 years old and able to enter into a binding contract.
- You must be using the Service for a business: as an owner, officer, employee or authorized agent of that business. The Service is not for personal insurance and is not directed at children. We do not knowingly collect information from anyone under 13, and we delete it if we learn we have.
- If you add a business, you confirm that you are authorized to act for it, to share its documents with us, and to request quotes, certificates and agent-of-record changes on its behalf.
- You are responsible for everyone you invite to your business's account and for keeping your sign-in method (email, Apple or Google account, phone) secure. Tell us at once if you believe someone else has used your account.
3. What the Service does
The Service lets you store insurance policies and related documents, see them in one place, request certificates of insurance, ask questions, request quotes for new or replacement coverage, buy coverage from carriers that offer it through us, and move the servicing of an existing policy to CoverMatch by naming us as your agent of record. Some features depend on your state, the carrier, and the information you provide. We may add, change or remove features at any time.
4. Our role as your agent
When you request quotes, buy a policy, or move a policy to us, we act as an insurance producer. We are not the insurer. Carriers decide whether to quote, what to charge, what to cover, and whether to pay a claim. Policy terms are set by the policy documents the carrier issues, which control over anything shown in the Service, including summaries and comparisons.
Nothing in the Service is a guarantee that coverage is available, that a quote will be honored, that a policy will be issued, or that any loss will be covered. Coverage begins only when a carrier binds it. Until you receive the carrier's binder or policy, assume you are not covered by that carrier.
5. How we are paid
The Service is free for you to use. When you buy or move a policy through us, the carrier pays us a commission. Rates vary by carrier and line of coverage. In a small number of cases a carrier may pay additional compensation based on the overall volume or profitability of the business we place with it. If a partner referred you to CoverMatch, we may pay that partner a fixed referral fee, or a share of our commission if the partner is licensed, out of our own revenue; it is never added to your premium. You can ask us about compensation on any policy at any time.
6. Information you give us
Carriers quote and issue coverage based on what you tell us. You agree that the information you provide, confirm or sign is accurate and complete to the best of your knowledge, and that you will tell us about changes that could affect your coverage. Inaccurate information can lead a carrier to decline a claim, charge an additional premium, or cancel a policy. If our software reads a document and asks you to confirm what it found, you are responsible for checking it.
7. Documents, uploads and license to use them
You keep ownership of the documents and information you upload. You give us a non-exclusive license to store, read, process, copy and share them as needed to provide the Service, including sending them to carriers you ask us to approach and to certificate holders you choose. You confirm you have the right to share anything you upload, including leases and contracts that belong to a counterparty.
8. Electronic communications and signatures
By using the Service you agree to receive policies, disclosures, notices and other records electronically, in the app, on the web or by email, instead of on paper. You can request a paper copy of any record at no charge by contacting us. You can withdraw this consent by closing your account; some features cannot be used without it.
Documents you sign in the Service are signed electronically under the federal Electronic Signatures in Global and National Commerce Act and the applicable state law. Each signing session asks for your consent separately, records how your identity was verified, and keeps a tamper-evident record of every step. An electronic signature made through the Service is your signature and binds you the same as ink.
9. Calls, texts and email
We ask separately for your consent before we call or text you. The exact wording and version of the consent you give is stored with your account. Message and data rates may apply. Reply STOP to any text to stop texts, and you can change your contact preferences in the account screen at any time. Some messages about your account, your policies or your signed documents are necessary to provide the Service and will still be sent.
10. Artificial intelligence in the Service
Parts of the Service are performed by software, including AI models, rather than by a person: reading documents, drafting answers, comparing quotes, routing requests, and answering chats, emails, texts and calls. We tell you when you are dealing with AI. AI output is informational, can be wrong, and is never a coverage determination. Your policy documents control. You can reach a licensed agent in one step from any screen, and some requests are always reviewed by a licensed agent before anything is sent.
11. Agent-of-record changes
Moving a policy to CoverMatch changes who services the policy. It does not change your carrier, your coverage or your premium. It is a separate, deliberate action for each policy, requires your signature, and takes effect when the carrier accepts it. Your current agent may contact you after being notified. You can withdraw a request before it is submitted to the carrier.
12. Buying coverage and payments
When you buy coverage, you will see the premium, taxes and fees, the payment options the carrier offers, and the documents you are signing before you confirm. Payments go to the carrier, a premium-finance company, or to our payment processor acting for the carrier, as shown at checkout. Premium refunds, cancellation charges and reinstatement rules are set by the carrier and your policy.
13. Live certificates
Certificates of insurance issued through the Service are informational. They confer no rights on the holder, do not amend or alter the policies listed, and reflect our records at the time shown. Whether a holder is an additional insured, or has a waiver of subrogation, depends on your policy's endorsements, not on the certificate. You are responsible for the accuracy of the holder details you enter and for whom you share a certificate with.
14. Acceptable use
You agree not to: use the Service for anyone other than a business you are authorized to act for; upload anything you do not have the right to share; misrepresent a business, a person or a policy; attempt to access another customer's data; interfere with the Service, probe it for vulnerabilities without our written permission, or use automated tools to scrape it; use the Service to send unsolicited messages; or use it for any unlawful purpose. We may suspend or close accounts that do.
15. Our content and software
The Service, including its software, design, text, graphics and the CoverMatch name and marks, belongs to us or our licensors and is protected by law. You may use it only as these terms allow. The mobile app is licensed to you, not sold, for use on devices you own or control, under the rules of the app store you got it from. Feedback you give us may be used without obligation to you.
16. Third-party services
The Service uses outside providers for things like hosting, email, text messaging, payments, analytics and AI. Carrier websites, payment pages and premium-finance agreements are run by those companies under their own terms. We are not responsible for third-party sites or services.
17. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, and we do not promise that the Service will be uninterrupted, error-free or secure, or that documents will be read without error. Information in the Service, including coverage checklists, requirement summaries and state pages, is general information and not legal, tax or accounting advice.
18. Limitation of liability
To the fullest extent the law allows, we and our owners, employees and providers are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from the Service, even if told they were possible. Our total liability for any claim arising from the Service in a twelve-month period will not exceed the greater of one hundred dollars or the commissions we received on your policies in that period. This section does not limit liability that cannot be limited by law, including liability arising from our duties as a licensed insurance producer under applicable insurance law.
19. Indemnity
You agree to defend and hold harmless us and our owners, employees and providers from claims, losses and expenses, including reasonable attorneys' fees, arising from information you provided that was inaccurate, documents you uploaded without the right to do so, your breach of these terms, or your use of the Service in violation of law.
20. Closing your account
You can close your account at any time from the account screen. We may suspend or close your account if you breach these terms, if we are required to by law or a carrier, or if we stop offering the Service. Sections that by their nature should survive (including 4, 5, 7, 8, 15, 17, 18, 19 and 22) survive closure. Records we must keep as a licensed agency are retained as described in the Privacy Policy.
21. Changes to these terms
We may update these terms. When we do, we will change the effective date above and, for material changes, tell you in the app or by email before they take effect. Using the Service after the effective date means you accept the updated terms. The version you accepted is recorded with your account.
22. Governing law and disputes
These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law rules, except where the insurance laws of the state where your business is located apply to a policy placed for you. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in New Jersey, and you consent to their jurisdiction. Nothing here limits your right to complain to your state's insurance department.
23. General
These terms, the Privacy Policy and the consents you give in the Service are the whole agreement between us about the Service. If any part is unenforceable, the rest stays in effect. We may assign these terms in connection with a sale or reorganization of the agency; you may not assign them. Our failure to enforce a term is not a waiver.
